Chemours shareholders have filed a securities class action claiming the chemical maker misled investors about demand for its Opteon refrigerants before cutting its 2026 earnings forecast in August. The lawsuit, filed in federal court in Delaware, covers people who bought Chemours securities between February 20, 2026 and August 4, 2026. Investors who want to lead the case must ask the court by December 7, 2026.
Key takeaways

- Chemours cut its 2026 adjusted EBITDA guidance on August 4, 2026, and the stock fell 18.63% the next day.
- The class covers anyone who bought Chemours securities from February 20 to August 4, 2026.
- You do not need to sign up to stay in the class. The December 7 deadline is only for people who want to serve as lead plaintiff.
What the Chemours class action lawsuit claims
According to the filing announcement from Pomerantz LLP on November 3, 2026, the complaint alleges that Chemours and some of its executives made false or misleading statements about the business during the class period. It says the company overstated aftermarket demand for its Opteon refrigerant products, had oversold those products in the prior fiscal year, which led demand to fall, and issued 2026 guidance that was not reliable.
Opteon is Chemours’ line of lower global warming refrigerants used in car air conditioning, commercial refrigeration and building cooling systems. The lawsuit is about what investors were told, not about the safety of the product.
What happened to Chemours stock
After the market closed on August 4, 2026, Chemours reported second quarter results and lowered its full year adjusted EBITDA guidance to $775 million to $825 million, down from $800 million to $900 million. On the earnings call, management reportedly said the sales channel had gone into 2026 oversupplied and that about $65 million of aftermarket sales should have fallen in this year. On August 5, 2026, Chemours shares dropped $3.34, or 18.63%, to close at $14.59, according to the announcement.
Who is in the class and what the deadline means
The proposed class includes everyone, other than the defendants, who bought or otherwise acquired Chemours securities between February 20, 2026 and August 4, 2026, both dates included. Under the federal securities laws, investors can ask the court to appoint them as lead plaintiff, the person or group that directs the case for the whole class. That request is due by December 7, 2026.
Most investors do not need to do anything now. If you stay passive you remain an absent class member, and if the case later settles you would file a claim through the settlement administrator. Chemours’ other legal fights
This investor case is separate from the PFAS litigation Chemours faces as a former DuPont unit. Chemours is among the defendants in the federal firefighting foam MDL, where rival 3M just agreed to a $7.35 billion PFAS injury settlement that does not cover Chemours. Chemours had not responded to the securities complaint in court at the time of publication, and the allegations have not been proven.
